Terms of service

[Replace this opening with the attorney-reviewed introduction.] These terms govern your use of Vendor. By signing up, you agree to them on behalf of the legal entity you represent.

1. The service

[Replace with attorney-reviewed text.] Define what Vendor provides, the subscription model, and what falls outside the scope of these terms (separate Data Processing Agreement, Service Level Agreement, Master Services Agreement for Tier 3).

2. Your account

[Replace with attorney-reviewed text.] Cover account creation, eligibility, authorized users, security obligations, and the consequences of credential misuse.

3. Acceptable use

[Replace with attorney-reviewed text.] List prohibited activities — illegal content, infringing material, malware distribution, abuse of platform resources, attempts to bypass security — and the enforcement steps Vendor may take.

4. Fees and billing

[Replace with attorney-reviewed text.] Cover pricing, currency, taxes, invoicing cadence, late-payment terms, and refund policy. Reference the live Pricing page as the source of truth.

5. Customer data

[Replace with attorney-reviewed text.] State that the customer owns the data they route through Vendor, that Vendor processes it as a processor under the DPA, and that the customer is responsible for ensuring it has the right to send that data to Vendor.

6. Intellectual property

[Replace with attorney-reviewed text.] Vendor retains its IP; the customer retains theirs; describe the limited license each side grants the other to operate the contract.

7. Warranties and disclaimers

[Replace with attorney-reviewed text.] State the warranties Vendor offers (service availability per SLA, lawful provision of the service) and disclaim the rest as permitted by applicable law.

8. Limitation of liability

[Replace with attorney-reviewed text.] Cover the liability cap (typically fees paid in the preceding 12 months), exclusions (indirect, consequential damages), and carve-outs (gross negligence, willful misconduct, indemnification obligations).

9. Term and termination

[Replace with attorney-reviewed text.] Cover initial term, renewal, termination for cause, termination for convenience, and post-termination obligations (data export window, deletion timelines).

10. Governing law and disputes

[Replace with attorney-reviewed text.] State the governing law, exclusive jurisdiction, and dispute resolution path (mediation, arbitration, or courts).
